PRIVACY POLICY WithStem Application The Recipe Book, LLC and STEM Effective Date: March 24, 2026

1. INTRODUCTION

This Privacy Policy ("Policy") governs the collection, use, storage, and disclosure of personal information by The Recipe Book, LLC ("TRB," "we," "us," or "our") and STEM ("Brand Partner") in connection with the WithStem mobile application ("Application") and any related services (collectively, the "Services"). By downloading, accessing, or using the Application, you ("User") agree to the terms of this Policy. If you do not agree, you must discontinue use of the Application immediately.

2. INFORMATION WE COLLECT

2.1 Information You Provide Directly We may collect the following categories of personally identifiable information ("PII") when you register, transact, or otherwise interact with the Application:

Mailing and shipping address
Payment and billing information
Account credentials

2.2 Information Collected Automatically Upon accessing the Application, certain technical data may be collected automatically, including but not limited to:

Unique device identifiers
IP address and approximate geographic location
In-app interactions, session duration, and usage patterns
Crash reports and diagnostic data

2.3 Conversational and AI Interaction Data The Application employs artificial intelligence to facilitate personalised product discovery through natural language dialogue. By engaging with the AI functionality, you acknowledge and consent to the collection and processing of conversational inputs for the purposes of generating product recommendations and improving Service functionality. Conversational data is not sold, licensed, or disclosed to unaffiliated third parties for commercial purposes.

2.4 Transaction Data Purchase-related data, including order history, transaction amounts, and fulfilment details, is collected and processed to facilitate commerce. Payment information is transmitted directly to our third-party payment processor and is not stored on TRB servers.

3. LEGAL BASIS FOR PROCESSING

Where applicable under the General Data Protection Regulation ("GDPR") or equivalent legislation, we process your personal data on the following legal bases:

Performance of a contract: To process transactions and fulfil orders
Legitimate interests: To improve the Application and personalise your experience
Legal obligation: To comply with applicable laws and regulations

All third-party service providers are contractually obligated to handle your data in accordance with applicable privacy laws and are prohibited from using your data for purposes beyond those specified.

We retain your personal information for as long as your account remains active, as necessary to fulfil the purposes outlined in this Policy, or as required by applicable law. Upon request, we will delete or anonymise your personal data, subject to legal retention obligations.

All data transmissions are encrypted using Transport Layer Security ("TLS"). Notwithstanding the foregoing, no method of electronic transmission or storage is entirely secure, and we cannot guarantee absolute security.

The Application may contain links to third-party websites or services. This Policy does not apply to such third-party services, and we are not responsible for their privacy practices. We encourage you to review the privacy policies of any third-party services you access.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and The Recipe Book, LLC ("TRB," "we," "us," or "our"), operator of the WithStem mobile application ("Application"), developed in collaboration with STEM ("Brand Partner"). By downloading, accessing, or using the Application, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Application.

These Terms apply to all users of the Application, including users who browse without registering and users who complete purchases through the Application.

2. ELIGIBILITY

By using the Application, you represent and warrant that:

You have the legal capacity to enter into a binding agreement
You are not prohibited from using the Application under any applicable law
All information you provide to us is accurate, current, and complete

We reserve the right to suspend or terminate your access if we have reason to believe any of the above representations are false or misleading.

3. ACCOUNT REGISTRATION

3.1 Guest Access You may browse the Application and its catalog without creating an account. Guest access does not require registration.

3.2 Account Creation To complete a purchase, you are required to create an account or provide sufficient information to facilitate the transaction. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.3 Account Security You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. THE APPLICATION AND SERVICES

4.1 Nature of Services WithStem provides a native mobile commerce experience powered by artificial intelligence, enabling users to discover and purchase handcrafted leather goods from STEM's catalog through natural language conversation and personalised product recommendations.

4.2 AI Functionality The Application employs AI-driven conversational technology to facilitate product discovery. You acknowledge that:

AI-generated recommendations are based on information you provide and do not constitute professional advice of any kind
Recommendations are drawn from STEM's available inventory at the time of interaction
The accuracy of recommendations is dependent on the accuracy of information you provide

4.3 Shopify Integration STEM's product catalog, inventory, and order management are powered by Shopify Inc. By making a purchase through the Application, you acknowledge that your transaction is subject to Shopify's applicable terms and the policies of STEM as a merchant.

4.4 Product Availability All products are subject to availability. STEM produces goods in limited batches. We make no guarantee that any particular product will be available at the time of your inquiry or purchase. Products that are sold out will not be restocked unless expressly indicated.

5. PURCHASES AND PAYMENTS

5.1 Order Placement By placing an order through the Application, you represent that you intend to purchase the selected product and that all information provided in connection with the transaction is accurate and complete.

5.2 Pricing All prices are displayed in the currency indicated within the Application and are inclusive of applicable taxes where required by law. We reserve the right to modify pricing at any time without prior notice. Price changes will not affect orders that have already been confirmed.

5.3 Payment Processing Payment is processed through a third-party payment processor. By submitting payment information, you authorise us to charge the total order amount to your designated payment method. We do not store payment card information on our servers.

5.4 Order Confirmation An order is not confirmed until you receive written confirmation via email. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, or product unavailability.

5.5 Taxes and Duties You are responsible for any applicable taxes, customs duties, or import fees associated with your purchase, particularly for international orders.

6. SHIPPING AND DELIVERY

6.1 Shipping Policy Shipping timelines, carriers, and costs are determined by STEM and will be communicated at the time of checkout. We do not guarantee delivery dates and are not liable for delays caused by third-party carriers, customs processes, or circumstances beyond our control.

6.2 Risk of Loss Risk of loss and title for purchased products passes to you upon delivery to the carrier. We are not responsible for lost or damaged shipments, though we will make reasonable efforts to assist in resolving such issues.

7. RETURNS AND REFUNDS

7.1 Return Policy Returns and refunds are subject to STEM's return policy as communicated at the time of purchase. Given the limited and handcrafted nature of STEM's products, all sales may be final unless otherwise stated.

7.2 Defective or Damaged Products If you receive a product that is defective or damaged, you must notify us within seven (7) days of receipt. We will work with STEM to provide an appropriate remedy, which may include replacement or refund at our discretion.

8. INTELLECTUAL PROPERTY

8.1 Ownership All content within the Application, including but not limited to text, imagery, design, software, AI models, brand assets, and product photography, is the exclusive property of TRB, STEM, or their respective licensors, and is protected by applicable intellectual property laws.

8.2 Limited Licence We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Application solely for personal, non-commercial purposes in accordance with these Terms.

8.3 Restrictions You may not:

Copy, reproduce, distribute, or create derivative works from any Application content
Reverse engineer, decompile, or attempt to extract the source code of the Application
Use the Application or its content for any commercial purpose without prior written consent from TRB
Remove or alter any proprietary notices or labels within the Application

9. PROHIBITED CONDUCT

You agree not to:

Use the Application for any unlawful purpose or in violation of any applicable law or regulation
Attempt to gain unauthorised access to any part of the Application or its infrastructure
Interfere with or disrupt the operation of the Application or its servers
Submit false, misleading, or fraudulent information
Engage in any conduct that could damage, disable, or impair the Application
Use automated tools, bots, or scrapers to access or collect data from the Application without prior written consent

10. DISCLAIMER OF WARRANTIES

THE APPLICATION AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APPLICATION IS AT YOUR SOLE RISK.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TRB, STEM, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Application, your violation of these Terms, or your violation of any rights of a third party.

13. THIRD-PARTY SERVICES

The Application integrates with third-party services including Shopify Inc. and payment processors. Your use of such third-party services is governed by their respective terms and policies. We are not responsible for the practices or content of any third-party services.

14. TERMINATION

We reserve the right to suspend or terminate your access to the Application at any time, with or without cause, and with or without notice. Upon termination, your right to use the Application will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Recipe Book, LLC is incorporated, without regard to conflict of law principles.

15.2 Dispute Resolution Any dispute arising out of or relating to these Terms or the Application shall first be subject to good faith negotiation between the parties. If resolution cannot be reached within thirty (30) days, disputes shall be resolved through binding arbitration in accordance with the rules of a mutually agreed arbitration body, unless otherwise required by applicable law.

15.3 Class Action Waiver You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

16. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Application or via email. Your continued use of the Application following notice of such changes constitutes your acceptance of the revised Terms. The effective date at the top of this document will reflect the date of the most recent revision.

17. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TRB with respect to the Application and supersede all prior agreements, representations, and understandings of any kind.
